NAME, TERRITORIAL AND PROFESSIONAL SCOPE, DURATION, ADDRESS AND PURPOSE

ARTICLE 1

"ASOFAP" ASOCIACIÓN DE FABRICANTES DE EQUIPOS, PRODUCTOS QUÍMICOS Y CONSTRUCTORES DE PISCINAS" (ASSOCIATION OF BUILDERS AND MANUFACTURERS OF EQUIPMENT AND CHEMICAL PRODUCTS FOR SWIMMING POOLS), is formed as a national business Association, governed by article 22 of the 1978 Spanish Constitution, by Law 191/64 of 24/12, by these Internal Regulations, and by all applicable legal provisions.

ARTICLE 2

The Association establishes its headquarters in Barcelona, Gran Vía de les Corts Catalanes 488, entlo 5. Notwithstanding the Management Board may agree a change of address at any time, and may also set-up delegations and representatives as it deems fit.

ARTICLE 3

SCOPE - The Association will cover all territory of Spain, and may establish offices or delegations as it deems fit.

ARTICLE 4

The Business Association "ASOFAP" will be formed by companies and/or company owners that manufacture equipment, chemical products for water treatment and disinfecting, and builders of public or private swimming pools, aquatic parks, aquariums and in general, all activities related to water. After applying for admission to the Association, they will be admitted following the regulations, and will accept all of these Internal Regulations.

ARTICLE 5

The Association is constituted for an indefinite period of time.

ARTICLE 6

The Association will have its own legal status independent from the companies which form part of it. It will have the capacity to act in order to achieve its purpose, it will adjust to democratic principles and to the agreements or elections taken, which will adopted by free and secret vote, following the Internal Regulations.

ARTICLE 7

OBJECTIVES
The primary objective of the Association will be:

a) To promote the creation of mechanisms to defend and protect the financial and commercial interests of manufactures of the sector against others not fulfilling current regulations in the European Union, with regard to safety (EC Market, Product Safety (G.S.)), the environment (recycling, industrial waste, dumping, etc...), labour safety.

b) Reinforce research and development, as an element distinguishing a quality product, against others that do not have this feature. Assurance of production quality (ISO 9000, QU 9000), etc...

c) To work in order to achieve greater professionalism in the sector. This will consist of specific backing to the sector, promoting training, helping and ensuring that the regulations controlling the sector are fulfilled, providing installer permits and ensuring that installers are qualified.

d) Guarantee to the end user, through its Associates, the perfect installation, operation and execution of each element, product and component installed in the swimming pool.

e) Obtain, provide and promote assessment, information and surveys regarding professional and business aspects of an industrial, commercial, legal, socio-economic or tax nature, or any other type, which are suited to the objectives of the Association and in the interest of its associates.

f) Represent and defend the Association and its members before Public Administrations or individuals, in any conflict, argument or problem affecting the Association; at a group level, all or part of its associates in the development of their professional and business activities.

g) Promote, manage and channel a policy to apply for official credits, tax relief or protection which could benefit the sector.

h) Promote to public Administrations, the certification or standardisation at state level of Technical-Administrative regulations on the building, installation, operation and maintenance of swimming pools, Aquatic parks and other public, group and private installations.

i) Encourage contacts and relations with similar Associations abroad, forming part of European and World-wide Associations as deemed fit.

j) Start-up, promote and organise Exhibitions, Conferences and Congresses of a general or monographic nature, and any other type of activity of interest to members, with the aim of achieving greater awareness and knowledge of products, both in Spain and abroad.

k) Promote and develop commerce and exports of all equipment and installations involved in the Association: publication of Catalogues, joint participation in Exhibitions, Events, etc.

l) Create and provide communal services considered to be of general use for members, such as information on commerce, statistics, market solvency and other financial, tax and business indexes considered of interest.

m) All other objectives which do not oppose the regulations and other provisions in force.

n) Promote the Association at all levels with the aim of end users demanding manufacturers and builders who are members of the Association as a guarantee.
