REPRESENTATION AND
GOVERNMENT ORGANISMS
ARTICLE
8
The
representation and government organisms are the General Assembly
and the Management Board. An appointment on the Management
Board will not mean that the person is entitled to a salary.
ARTICLE 9
The
correctly constituted General Assembly is the supreme organism
of the Association. Agreements adopted by it in accordance
with these Internal Regulations, are compulsory for all its
members (which have settled the officially established fees).
ARTICLE 10
The
Association is governed by the General Assembly and the Management
Board. The persons governing the Association, will be elected
to all appointments by means of a free, direct and secret
vote.
The
General Assembly is formed by all members which have settled
the officially established fees.
The
General Assembly will be correctly constituted on the first
summons when half the members plus one are represented, and
on the second summons with a minimum quorum of twenty-five
per cent of members.
Ordinary
and extraordinary General Assemblies will be called by the
President of the Association, by means of a personal, written
notification to all members, fifteen calendar days before
the date arranged for the meaning, indicating, if applicable,
the date and time when the meeting will be held on the second
summons.
The
notification of the meeting will indicate the place, date
and time when the Assembly is to be held, the matters to discuss,
according to the Agenda agreed by the Management Board.
In
the questions and answers section, the Management Board will
collect all the proposals put forward by the members in writing,
three days before the date of the meeting.
The
President of the Association will also be the president of
all General Assemblies, and in his absence, the Vice-president.
The
board of the Assembly will be formed by the President of the
Association and two Members, appointed by the Management Board,
in rotation, and the Secretary of the Management Board will
also be the Secretary of the Assembly.
The
agreements adopted by the General Assembly will be by simple
majority vote, except those cases in which the Internal Regulations
require a limited majority vote. The voting system will be
decided by the Assembly.
ARTICLE 11
The
General Assembly is responsible for:
a)
Adopting agreements regarding the representation, management
and defence of interests of the Association and its members.
b) Check the projects and plans of action.
c) Elect and revoke the mandate of members of the
Management Board and the President of the Association for
periods of four years.
d) Be aware of the actions of the Management Board.
e) Set the fees to be paid by the members, in accordance
with the proposals put forward by the Management Board.
f) Approve budgets and accounts.
g) Approve and reform the internal regulations.
h) Agree to the dissolution of the Association.
i) Be aware of and resolve claims and appeals filed
by Members.
The
minutes of the General Assembly meeting will be drawn up
and written in a book for this purpose, signed by the President
and the Secretary.
ARTICLE 12
The
Management Board is the body responsible for the management,
government and administration of the Association. It is formed
by a maximum of fourteen and a minimum of five members, elected
by the General Assembly from among its members.
The
Management Board will by formed by the President, Vice-president,
Secretary, Accountant, Treasurer and eight Members.
ARTICLE 13
The
Management Board will meet for ordinary sessions, at least
once a quarter. It will also meet for extraordinary sessions
in cases when one third of its members request a meeting or
the President decides to do so.
The
President of the Management Board, who will also be President
of the Association, will summons its members whenever possible,
eight calendar days before the date arranged for the meeting,
indicating the overall Agenda of the matters to be discussed.
Matters not included in the Agenda may also be discussed if
they are urgent.
ARTICLE 14
The
Management Board will be considered valid when half plus one
of its members are present at the meeting, together with the
President and Secretary or their substitutes.
To
adopt agreements, a favourable vote of half plus one of the
members of the Management Board present will be required.
The
discussions and agreements of both ordinary and extraordinary
sessions of the Management Board will be indicated in the
minutes which will be signed by the President and the Secretary
and included in the corresponding Book of Minutes.
ARTICLE 15
The
Management Board will have the following powers and functions:
a)
The execution and fulfilment of the agreements taken
by the General Assembly.
b) Perform and direct activities of the Association,
needed to exercise and develop its objectives.
c) Put forward general and specific plans of action
to the General Assembly, and put those already approved
into practice, reporting to the General Assembly.
d) Elect the Secretary, Treasurer and Accountant
of the Association from among its members together with
substitutes.
e) Present budgets, balance sheets, settlements of
accounts and fee proposals to the General Assembly for approval.
f) Draw-up the annual Report of activities and present
it for approval at the General Assembly.
g) Decide on collection and arrangements regarding
payments and payment orders.
h) Inspect the accounts and the collection and payment
system, without prejudice to the powers of the Accountant
and Treasurer.
i) Inspect and ensure that services are functioning
correctly.
j) Adopt agreements referring to the hiring of assets
and services, exercising actions and granting powers.
k) Draw-up reports and surveys of interest to members.
l) In cases of extreme urgency, adopt decisions on
matters that normally correspond to the General Assembly,
notifying these decisions at the next session of the General
Assembly.
THE PRESIDENT
ARTICLE
16
The
functions and powers of the President are:
a)
To chair the General Assembly and the Management Board.
b) To direct debates and the agenda of meetings.
c) Represent the Association, sign contracts and
grant powers and execute all types action, with the required
authorisation of the Management Board.
d) Present an annual report on his actions and those
of the General Assembly.
e) Put forward to the Management Board the appointment
of technical positions necessary for the activities of the
Association.
THE
VICE-PRESIDENT
ARTICLE
17
The
Vice-president of the Association will be elected by the General
Assembly, and will be vice-president of the General Assembly
and of the Management Board.
He
will substitute the President during his absence and in the
event that a vacancy occurs in the position of President,
he will cover this vacancy until another election is held
